How we research offerings

Quick answer

RegAMagazine profiles Regulation A and Regulation Crowdfunding offerings using the issuer's SEC filings as the primary source. Every profile states its data date, lists its sources, separates the company's claims from verified terms, and links to the official offering documents.

How we choose offerings

  • Regulation CF offerings listed on SEC-registered funding portals, beginning with Highlander Crowdfunding.
  • Regulation A offerings that the SEC has recently qualified, identified through SEC EDGAR qualification notices (form type QUALIF).
  • We prioritize offerings open to non-accredited investors that receive little or no coverage from analysts or financial media.
  • We exclude offerings with no public offering document, offerings whose SEC qualification has lapsed, and offerings we cannot confirm are being conducted under an SEC exemption. We may report on those separately as news.

How we handle conflicting information

When an issuer's website and its SEC filing disagree, we report the figure in the SEC filing and note the discrepancy. Implied figures we calculate ourselves — such as a valuation derived from a share count — are labeled as our calculation.

Standard profile format

Every profile contains, in this order: a quick answer; key terms at a glance; a description of the business; the company's own claims, labeled as such; due-diligence questions; key risks; links to the investment page and SEC filings; a compensation disclosure; numbered sources; the date the data was last verified; and a suggested citation.

Update schedule

  • Open offerings are re-checked at least weekly, and on any deadline date.
  • Closed offerings are marked Closed and kept online as a historical record.
  • Each page shows a “Last verified” date. Content older than 30 days on an open offering should be treated as possibly out of date.
