The company

DeedFlow was incorporated in June 2026. It plans to buy homes at government tax-deed auctions, renovate and resell them, and also buy and collect on tax liens, while it builds its own software platform. Its first portfolio is three South Carolina properties bought for $151,769, and it had no revenue as of June 30, 2026.

The company is selling up to $25 million of 10-year Royalty Revenue Bonds at $10 par, without a broker. Bondholders are targeted to receive an 8% annual priority return paid from a royalty pool funded by a cut of property sales and tax-lien income, and any unpaid amount accrues until maturity. Ownership is recorded by transfer agent T7X Equity, with a blockchain index kept for administration only.

What the company says

The following statements come from the issuer's offering circular and investor materials and have not been independently verified by RegAMagazine:

  • Management estimates the three initial South Carolina properties could sell for about $535,000 in total, for about $150,000 in gross profit (not assured).
  • The royalty pool is funded by 5% of the gross sale price of each property sold and 10% of interest and penalty income from tax-lien redemptions.
  • About 8% of gross proceeds (around $2 million at full subscription) is to be held in escrow to cover first-year interest shortfalls.

Questions we'd ask before investing

  1. How large must the property-sale volume be for the 5%/10% royalty pool to cover an 8% return on the amount raised once the first-year escrow runs out?
  2. How will Bridge Notes held by the CEO and others be repaid or converted into bonds, and how will that affect cash bondholders?
  3. Since the software platform is unfinished and underwriting is manual, what track record do management have in tax-deed acquisitions and flips?

Key risks

  • Start-up with going-concern doubt: a net loss of $(8,775) and $31,225 in cash from inception (June 3, 2026) through June 30, 2026, and no operating history.
  • The 8% return is not guaranteed and unpaid amounts can pile up until maturity; bonds rank behind senior property lenders and are secured only by the royalty pool account; there is no minimum raise and no trading market.
  • Related parties: the CEO holds an $89,800 Bridge Note and a $29,800 note payable, Bridge Notes rank ahead of the bonds, and a director's role on the Trusted Smart Chain blockchain the company uses raises a possible conflict.
  • General Reg A risks apply: most Reg A securities have no trading market, the price is usually set by the issuer rather than negotiated, non-accredited investors in Tier 2 offerings are limited to 10% of the greater of annual income or net worth, and you can lose your entire investment.
